What is a Standing Offer

A Standing Offer binds a supplier to provide goods or services at fixed terms, conditions and prices for the period of the Standing Offer.It does not commit NZDF to purchase any specific quantities during the term of the Standing Offer, unlike a period contract which obligates the buyer to purchase a fixed quantity of goods or services over a specified period of time. As with any “offer to sell”, the Standing Offer does not constitute a contract until the offer is accepted. That acceptance takes the form of a purchase order that identifies the particular goods or services required at the agreed price. A Purchase Order received by a supplier under a standing offer creates a binding contract for the supply of the goods or services ordered, subject to the fixed terms, conditions and prices of the Standing Offer. NZDF has no commitment to place an order.

What are Incoterms

The International Chamber of Commerce (ICC) has established a uniform set of terms for international trade. These terms, known as INCOTERMS, are contained in the ICC publication 560 (INCOTERMS 2000) (ISBN 92-842-1199-9). This publication also contains details of the obligations these terms impose on both the seller and the buyer (ie, NZDF). There are a total of thirteen ICC INCOTERMS; however, only four are preferred for use by NZDF. These are FOB, FCA, DDP and EXW. The other nine all involve the supplier in providing services which NZDF already pay for through existing contracts, ie, overseas freight insurance, import licensing, and customs clearance in New Zealand. It is important to remember that the commonly quoted delivery term "FIS" or "Free into Store" is not an INCOTERM and should not be used. "FIS" is merely an acronym understood only in New Zealand and Australia, which does not have the same meaning for every supplier.
